Developer Agreement

Last updated 16 October 2026

This agreement (“Developer Agreement”) is between the organisation that creates a SmartContact developer account (“Developer”, “you”) and OHF Consulting Ltd, trading as SmartContact CRM, of Old Hall Farm, Main Street, North Muskham, Newark, Nottinghamshire, NG23 6HD, United Kingdom, company number 15763560, VAT number GB 487 7549 21 (“SmartContact”, “us” or “we”).

It covers the developer portal at developers.smartcontact.online, our API and MCP server when used to build plugins, sandbox workspaces, and the plugin marketplace (together, the “Developer Programme”). If you accept it on behalf of an organisation, you confirm you have authority to bind it. Our Terms of Service apply to any SmartContact workspace you use other than a sandbox.

1. Definitions

2. Your developer account

2.1 You must give accurate details and keep them up to date. Each Seat is for one named person, who must keep their sign-in details confidential.

2.2 You are responsible for everything done under your developer account, including with your API keys, sandbox workspaces and Plugin signing secrets. Tell us without delay at operations@smartcontact.online if you suspect any of them has been exposed, and revoke or rotate it.

2.3 Your owner can add and remove developers. Each active developer uses one Seat.

3. Developer fee

3.1 The Developer Programme costs £249 per Seat per year, plus VAT where it applies, paid in advance through our payment provider, Stripe. It renews each year unless you cancel before renewal in the billing portal.

3.2 Adding Seats during the year is charged pro rata. Fees already paid are non-refundable, except where the law says otherwise.

3.3 If the fee is unpaid, you lose access to sandbox workspaces, API keys and publishing until it is paid. Listed Plugins stay listed for 30 days, after which we may unlist them.

3.4 We may change the fee on at least 30 days’ notice. The change takes effect at your next renewal.

4. Sandbox workspaces and API use

4.1 Sandbox workspaces are for building and testing only. They are never billed, they may be reset or deleted if inactive, and you must not put real personal data in them.

4.2 You must use only our published API and MCP server, follow our documentation and rate limits, and not try to get around plan limits, permissions or security controls.

5. Plugins and review

5.1 Every Plugin version is reviewed before it is listed. We may approve, reject or ask for changes at our discretion, and we will tell you why if we reject a version.

5.2 Your Plugin must:

5.3 You grant us a non-exclusive, worldwide, royalty-free licence to use your Plugin’s name, icon, description and screenshots to list and promote it in the marketplace, on our website and in our marketing, for as long as it is listed.

5.4 You keep all Intellectual Property Rights in your Plugin. You confirm you have the rights needed to offer it and that it does not infringe anyone else’s rights.

6. Prices, billing and revenue share

6.1 Free or paid. A Plugin is free, or has a monthly price per Customer workspace that you set. A paid Plugin’s price must be at least the minimum shown in the developer portal (currently £5 a month, excluding VAT), which covers payment and payout costs. Prices exclude VAT.

6.2 We bill Customers. SmartContact is the seller of record for paid Plugins. We add your Plugin to the Customer’s SmartContact subscription, invoice the Customer, collect payment and account for VAT. On annual subscriptions the Plugin is billed at 12 times its monthly price. Paid Plugins are available only to Customers on a paid plan with an active subscription.

6.3 Price changes. A new price applies to new installs. Customers who already installed your Plugin keep their price unless we agree otherwise.

6.4 Revenue share. You receive 90% of Net Plugin Revenue; we keep 10% as our platform fee. Your share of each invoice is fixed when the Customer’s invoice is paid. We may change the revenue share on at least 30 days’ notice; a change applies only to invoices paid after it takes effect.

6.5 Refunds and chargebacks. If we refund a Customer, or a Customer’s payment is reversed after a dispute that is lost, you give back the same proportion of your share for that invoice. We deduct it from your next payouts. If your balance stays negative for more than 90 days, we may invoice you for it.

7. Payouts

7.1 We pay you through Stripe Connect. To receive payouts, your owner must complete Stripe’s onboarding from the developer portal, and you must accept Stripe’s Connected Account Agreement. Stripe verifies your identity and holds your bank details; we do not see them.

7.2 Early each month we transfer your share of Net Plugin Revenue from invoices paid before that month began, once your Stripe account can receive transfers. Stripe then pays it to your bank on its normal schedule. If a transfer fails, we retry. Earnings wait in your balance while your Stripe account is not ready.

7.3 Amounts are paid in pounds sterling. Any currency conversion is done by Stripe or your bank.

7.4 You are responsible for your own taxes on your share, including income or corporation tax and any VAT you must account for on the services you provide to us. If you are VAT-registered, tell us, and we will agree how your share is invoiced.

7.5 We may withhold or delay a payout if we reasonably suspect fraud, a breach of this agreement, or that a Customer is likely to dispute a payment, and we will tell you why.

8.1 You can pay to have a Plugin featured at the top of the marketplace for one week (Monday to Sunday), at the price shown in the developer portal, plus VAT. The number of featured places each week is limited, and places are given in order of payment.

8.2 Featured placements are not refundable once paid, unless we cannot show your Plugin for reasons within our control, in which case we refund the unused part. If we remove or suspend your Plugin because of a breach of this agreement, the placement ends without a refund.

9. Customer Data and data protection

9.1 When a Customer installs your Plugin, the Customer authorises it to access the Customer Data allowed by the scopes shown on the install screen. For that Customer Data, the Customer is the controller. You must have terms with each Customer that meet the requirements of UK GDPR Article 28 (or act as an independent controller only where the law and your terms clearly allow it).

9.2 You must:

9.3 We are not responsible for how you handle Customer Data. Our privacy policy explains how we handle personal data about you as a developer.

10. Suspension and removal

10.1 We may unlist, suspend or remove a Plugin, or suspend your developer account, if we reasonably believe it breaches this agreement, puts Customers or their data at risk, or receives serious or repeated complaints. Where we can, we will tell you first and give you a chance to fix the problem.

10.2 If a Plugin is removed, we may uninstall it from Customers’ workspaces, which revokes its access. Earnings already due on paid invoices are still paid, less any amounts under sections 6.5 and 7.5.

11. Liability

11.1 Nothing in this agreement limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by law.

11.2 You will indemnify us against claims by Customers or third parties arising from your Plugin, your breach of section 5.2 or section 9, or your infringement of anyone’s Intellectual Property Rights.

11.3 Subject to 11.1, neither of us is liable for loss of profits, sales, business or revenue, loss of goodwill, or any indirect or consequential loss. Our total liability to you under this agreement is limited to the greater of the developer fees you paid in the 12 months before the claim and £1,000. This limit does not apply to our obligation to pay you your share of Net Plugin Revenue.

12. Term and termination

12.1 This agreement continues until ended. You can end it at any time by cancelling your developer subscription and unlisting your Plugins. We can end it on 30 days’ notice, or immediately for a material breach that is not fixed within 14 days of our notice.

12.2 When it ends, your Plugins are unlisted and uninstalled from Customers’ workspaces after at least 30 days’ notice to those Customers (or immediately if section 10 applies), your API keys stop working, and we pay any balance due under section 7.

13. Changes, notices and general terms

13.1 We may update this agreement by giving at least 30 days’ notice by email or in the developer portal. If you keep using the Developer Programme after a change takes effect, you accept it.

13.2 We send notices to your developer account owner’s email address. You can send notices to operations@smartcontact.online.

13.3 Sections 14 and 17 of our Terms of Service (events outside our control, and other important terms, including governing law) apply to this agreement as if written here. This agreement is governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
